Abstract

Due diligence has traditionally been organised into separate financial, commercial, operational and legal workstreams, each producing
its own findings for an investor, lender or board. The disruptions of 2020 and 2021, including the COVID-19 pandemic, the global
semiconductor shortage and the Suez Canal blockage, exposed the limits of this siloed approach: firms with sound balance sheets
failed to deliver because a single supplier, a brittle process or a weak control environment amplified an external shock. This paper
develops the Integrated Resilience Due Diligence Framework (IRDDF), a structured method that management consultants can use
to assess business resilience during transactions, restructurings and strategic reviews. The framework integrates four pillars: financial
resilience, measured through liquidity, leverage, coverage, cash conversion, distress scores and cash runway; supplier concentration,
measured through a concentration index of purchasing spend, top-supplier dependence, single-sourcing, geographic exposure and
buffer inventory; process performance, measured through overall equipment effectiveness, on-time-in-full delivery, the cash conversion
cycle, first-pass yield and the ratio of time-to-recover to time-to-survive; and governance quality, assessed through a calibrated rubric
covering board independence, audit oversight, enterprise risk management maturity, related-party exposure, internal controls and
key-person dependence. Indicators are normalised to a common 0 to 100 scale and aggregated into a weighted Business Resilience
Index, with gating rules that prevent strength in one pillar from masking critical weakness in another. A stress-testing module translates
operational vulnerabilities into financial consequences. An illustrative application to a mid-sized manufacturer shows how the integrated
view reverses the conclusion that a financial-only review would reach. The paper contributes a replicable, evidence-based tool for
practitioners and sets out propositions for empirical validation.
